- Registration
The Seller and Investors shall register with DealBook prior to initiating any transaction process through the platform. - Submission of Deal
The Seller may submit a deal opportunity either by contacting DealBook directly or by completing the prescribed deal submission form. - Confidentiality Arrangements
Where required, the Seller and Investors shall execute a Non-Disclosure Agreement (NDA) or Confidentiality Agreement through DealBook prior to the disclosure of confidential information. - Provision of Information
The Seller shall provide all relevant information relating to the business, company, or project, including where available: Teaser documentation, Information Memorandum, Audited Financial Statements, Valuation reports and supporting materials. - Third Party Services Where such documents are unavailable, DealBook may facilitate preparation through independent third-party service providers. All associated fees shall be borne directly by the Seller.
- Platform Listing
Upon receipt of adequate information, Dealbook may list the opportunity on its platform for the purpose of attracting potential investors. - Investor Interest Notification
Dealbook shall notify the Seller upon expression of interest by a prospective investor. - Fee Mandate
Upon such notification, the Seller shall execute a formal Fee Mandate Agreement with DealBook’s deal facilitators. Fees shall be success-based and typically range between 2%–3% of the transaction value. No fees are charged from the Investors. - Introduction of Parties
Following execution of the Fee Mandate, DealBook shall introduce the relevant parties to proceed with transaction discussions. - Transaction Process
The transaction process may include: Negotiations, Due diligence, Execution of definitive agreements. DealBook may facilitate engagement of third-party professionals including investment bankers, accountants, and legal advisors where required. - Limitation of Liability
DealBook acts solely as a facilitation platform and shall not be liable for any loss, damage, or claims arising from transactions executed between parties through the platform.
